does not allow any retailers
to list WAYB products on these marketplaces. Failure to comply with
this policy will result in the immediate closing
of your account. This policy was
created to prevent improper
pricing, inaccurate product descriptions and inadequate shipping
procedures. We desire to protect the WAYB brand and reputation by reducing bad customer experiences.
The list of marketplaces includes
but not limited to:

Amazon.com, Sears.com, eBay.com, Walmart.com, Jet.com, NewEgg.com, Alibaba.com
●
Any
type of flash sale or discount website
(Groupon, LivingSocial, etc.)
Please note, many website platforms
offer the ability to syndicate your website
items to marketplaces, please be sure you have our items turned
off to prevent your account
from being closed.
MINIMUM ADVERTISED PRICE POLICY
INTRODUCTION
We recognize that our authorized
WAYB retailers invest significant time and resources
to deliver an extraordinary customer
experience. To support your efforts,
WAYB has adopted the following
Minimum Advertised Price Policy ("MAPP") applicable to all WAYB distributors, dealers and resellers
located in the United States. This MAPP is unilateral
and applies to all WAYB Resellers and to all products distributed by WAYB. This policy may be modified by WAYB at any time. This MAP Policy
applies to all retailers located
in the United States that advertise the sale of WAYB products.
THE POLICY
WAYB
shipments can only be used for sale in the United States. Retailers are prohibited from selling outside
of the United States. This MAP Policy applies only to advertised
prices, is non-negotiable and will not be modified for any retailer. WAYB will only allow promotions
to run during three windows:
July, August and November. Advertising
any WAYB MAP Product below the MAP list price on the current WAYB price list will violate this MAP Policy. This MAPP applies to the advertisement of covered products in any and all media, including,
without limitation, flyers, posters, coupons, direct mailers, brochures, inserts, newspapers, magazines,
gift cards, catalogs, mail order, public signage (including signs
within a store visible from outside the store), other print media, email
newsletters, email solicitations, social media, online websites,
television and radio. Website
features such as "click for price",
automated "bounce back" pricing emails, pre-formatted email responses, forms,
automatic price display for any
items prior to being placed in a customer's online shopping
cart and other similar features, constitutes "advertising" under this MAPP.
WAYB may offer a direct manufacturer's rebate
to consumers. In such events, it
shall not be a violation of this MAP Policy for an authorized WAYB retailer to advertise the availability of the manufacturer's rebate, provided that: (a)
the advertisement includes a MAP compliant price, the rebate amount, and the net price after manufacturer's rebate
all in the same type size, font and style;
(b) an asterisk is placed next to the net price after manufacturer's rebate; © the "After manufacturer's rebate*" appears in the same area of the advertisement as the advertised product.
WAYB
may bundle product
with or sold as part of a package that includes other products, it shall be a violation of this MAP Policy to advertise
the bundle (package) at a price that: (a) is lower than the total Minimum Advertised Price of the WAYB product;
or (b) violates the letter
of the MAP Policy.
For
advertising of any for where WAYB Products
are depicted, authorized retailers may only use images of WAYB products, trademarks, logos
or product names ("WAYB Marks") that are provided by WAYB and only if those products are actually being offered for
sale by the authorized WAYB Reseller. The unauthorized use of WAYB Marks will not be allowed by Resellers in any way. Furthermore, WAYB Marks may not be utilized in a way
to suggest an unauthorized endorsement
fromWAYB for a product or service not manufactured or offered by WAYB.
In the event of a MAPP violation, all WAYB authorized retailers have a period of forty-eight (48) hours to bring advertising into compliance or
WAYB reserves the right to cancel any pending orders and cease filling any new orders for the product(s) in violation of this MAPP.
MAPP EXCEPTIONS
The exceptions to the MAPP are as follows:
● Category-wide or website-wide
promotions where pricing does not exceed MAPP.
Retailers will need to gain WAYB approval
prior to running
a promotion.
●
Free
shipping may be advertised to provide a discount total
price.
● For new product launches identified
by WAYB to Reseller, Resellers
may not advertise for a period of 30 days following any such new product launch.
● For covered products
that WAYB has announced will be discontinued, Resellers may advertise such products below the MAP price without violating this MAPP,
provided that all such advertisements indicate
the differentiation from current products
(e.g., "discontinued style").
NO AGREEMENT
This MAPP does not constitute an
agreement between WAYB and any Reseller. Compliance with this MAPP is at the sole discretion of the
Reseller. Resellers are free to determine independently the price at which WAYB products are advertised or sold. This MAPP is confidential. Disclosure
by Reseller of the terms of this MAPP to any third party will constitute a violation of this MAPP and may result in the suspension
